He considers the nature and implications of incorperations, formation and company promotion, Memorandum and Articles of Association and their significance. It discusses corporate finance through the allotment of shares and analyses debentures and borrowing by the company. It also examines the role of corperate directors and other officials and their capacity to bind the company. In addition the book considers corperate official responsibility in the context of the accounting audit, duties of directors and their enforcement. It concludes with a discussion of meetings and proceedings, reconstruction and amalgamation, and winding up of the registered company.
